RULE 25B FOR PHYSICAL VERIFICATION OF REGISTERED OFFICE

The Ministry of Corporate Affairs has notified Rule 25B via the Companies (Incorporation) Third Amendment Rules, 2022 on 18th August, 2022 also effective from the same date. Rule 25B provides for physical verification of registered office of the Company by the Registrar of Companies based on the information or documents available on MCA21.

KEY HIGHLIGHTS OF THE RULE

  1. This rule provides for physical verification of registered office of the Company by the Registrar of Companies.

2. It also sets out in detail, the procedure to be followed for carrying out the physical verification and the format of report to be prepared by the Registrar of Companies.

3. The rule authorizes the Registrar to send a notice to the Company and all it’s Directors, of his intention to remove the name of the Company from the register of Companies under Section 248 of the Companies Act, 2013 if the registered office is found to be not capable of receiving and acknowledging all communications and notices.
